Pidge Payout and Terms & Conditions Guide

1. Compensation Principles :

1. Pidge CARES for you by:

2. Pidge is a Performance Oriented company where:

  • Good performance is Rewarded, you can Earn more!
  • Good performance is Recognized, you can Grow in the company
  • Poor performance is Not accepted and subject to Penalties

3. Pidge is a 5 star service and only the best like you are a part of it.

2. Fixed Gross Salary:

  1. You have a fixed per month gross salary and the same is mentioned in your LOA.
  2. Fixed salary is paid by 7th of the following month.
  3. Riding Incentive : Given on the basis of total on order driven km of the month.

            

3. Fuel Reimbursement:

1. Calculated Home to Home

  1. You are reimbursed for Total Distance driven when you leave Home for your shift to the time you return Home after last delivery.
  2. Your Fixed salary therefore includes 50 reporting kms per day if Gross Salary as per LOA is INR 17000 per month or more. Therefore, 50 km/day will be adjusted during calculation of fuel reimbursement.
  3. There is no carry forward or accumulation of reporting kms.
  4. Reimbursement is done after adjusting reporting kms
  5. There will not be any reporting km adjustment if  Gross Salary as per LOA is INR 17000 per month or less.
  6. No negative adjustment of reporting kms is done for days that you are off / on leave
  7. If Gross Salary is less than INR 17000, Rate: 

              

      8. If Gross Salary is more than INR 17000, Rate : ₹ 2.5/km

 

2. Fuel Reimbursement Payout Dates :

  1. 1-15 Fuel Reimbursement : By 27th of same month.
  2. 16-30/31 Fuel Reimbursement : By 17th of next month.

4. Over Time

6. Leaves – Weekly Off

  1. Eligibility after 6 continuous days of work including approved leave in that week.
  2. Once Eligible, you can apply for your week off using the roster section in the rider application.
  3. One day additional salary paid if no eligible week off given.
  4. You cannot choose your week off days AND date cannot be changed.
  5. Week Off will be reflected in the roster section in the “Rider App”

7.Leaves

1.Casual Leave

  1. You are entitled to a maximum of 7 calendar days per annum.
  2. You MUST apply casual leave at least 12 hours before shift start time
  3. Casual leave cannot be combined with Sick or Annual Leave.

2. Sick Leave

  1. You are entitled to a maximum of 7 calendar days per annum.
  2. You MUST apply sick leave at least 3 hours before shift start.
  3. You MUST produce a medical certificate on resumption of duties
  4. Sick leave cannot be combined with Casual Leave.

3. Annual Leave

  1. You are entitled to a maximum of 18 calendar days per annum.
  2. Annual leaves will accrue after 60 days from the date of joining.
  3. Every employee shall be entitled to 1.5 days leave for every 26 days worked.
  4. Annual leave has to be applied at least 7 days in advance.
  5. Annual Leave of more than 2 days has to applied at least 14 days in advance.

8. LEAVE RULES

  1. Only way to apply leave is “Rider application”
  2. Leave cannot be applied and will NOT be approved if informed on phone or whatsapp.
  3. Your leave will be approved within 24 hours if applied in time.
  4. If you do not apply for your leave in time OR your leave has not been approved, it will be treated as Absence.
  5. The Company gives you a lot of leaves, please enjoy your leaves by Respecting the Rules.

 

Penalties for Poor Performance

 

1. Late Login Penalty

  1. INR 25 for every 15 mins block of late login, early logout.
2. Absent Penalty

3. Riding Penalty

  1. Imposed if average on order driven km is less than 100 km/working day.
  2. If Monthly on order driven km Average is 0-75 : Penalty of 10/km.
  3. If Monthly on order driven km Average is 76-99 : Penalty of 5/km.

4. COD Penalty

  1. COD Penalty will be imposed if total Outstanding COD is not deposited with the company within 24 hours from the time of collection of COD amount from the customer.
  2. COD Penalty : 20% of the total COD outstanding Amount.
Other Terms & Conditions

1. SECURITY, DOCUMENTATION & PROBATION PERIOD

  1. The Employee agrees to deposit with the Company a sum of Rs. 2000/- (Rupees Two Thousand) deductible from its first due and payable monthly salary in lieu of the Delivery Executive Kit provided to the Employee at the time of Execution of this Agreement. The aforementioned amount shall be returned to the Employee at the time of termination/resignation/separation from the Company subject to the return of the Delivery Executive Kit. The Employee agrees to deposit with the Company a sum of Rs. 1300/- (Rupees Thirteen Hundred) on the date of joining in lieu of a one-time issue Delivery Executive Kit comprising of a pair of shoes, mobile holder, and side bag provided to the Employee at the time of Execution of this Agreement. The aforementioned amount is non-refundable and will not be returned to the Employee at the time of termination/resignation/separation from the Company. Also, the items mentioned above are not be returned by the Employee at the time of termination/resignation/separation from the Company.
  2. The Employee shall provide to the Company any one original government identification document for background verification returnable at the time of payment of first monthly salary.
  3. Your employment will be on Probation till 60 days starting from date of Joining. During Probation, the Company reserves the right to terminate your employment at a notice of 3 days. Please note that you will be required to give Notice per Clause 7.1 below during your Probation period.
  4. You are not entitled for leave of any kind during the probation period. Please note, any leave taken during the probation period will be treated as absent from work.

2. TERM

The term of this agreement shall commence from the date of commencement and shall expire on March 31, 2022. However, this agreement may terminate before the date of expiry in accordance with the provisions of the termination clause set out hereto.

3.  TERMINATION OF EMPLOYMENT

  1. Termination by Notice: Thirty Days Notice by Employer or Employee or one month’s salary in lieu thereof to be paid to the employee.
  2. Termination by Breach: The Company shall be entitled to terminate this agreement at any point of time during the term of this agreement up on any breach, misconduct, fraud, theft, committed by the employee of its obligation. If the employee is terminated by the company for the reasons mentioned under this clause, the company shall not be obliged to make any further payment to Employee in terms hereof, or continue to provide any benefit to Employee under this agreement and the Employee shall indemnify and keep indemnified the company from any loss or damage that may be suffered by the company, due to the breach of this agreement committed by the Employee.
  3. Termination for Absenteeism: Notwithstanding Clause 3 (2) the Company shall be entitled to terminate Employment without any notice or notice pay on account of regular absenteeism i.e. when an Employee does not show up for work, for a continuous period of 3 days without prior approval.
  4. Termination of Absconding Employee: An Employee shall be liable for termination without any pay or refund of deposit after he or she is absconding for a period of 7 or more days.
  5.  Full & Final Payment: The Company will prepare and process your full and final payment within 45 days from your date of exit from the company.
  6. If this agreement is terminated (a) by the Employee for any reason whatsoever, or (b) terminated by Company for (b.i) any breach of the terms of this agreement; (b.ii) performance or attendance related issues; (b.iii) any breach of Company’s general terms and conditions for employment including its Policies and Procedures; (b.iv) any act that is immoral or unethical as determined by the Company; (b.v) any illegal act as per Laws of India; within 30 days or 60 days from the date of joining the company reserves the right to deduct  INR 3,000 or INR 1,500 respectively on  account of induction and on-boarding charges.

4. COMPLIANCE WITH CODE OF CONDUCT

The Employees must understand and adhere to the Company’s Code of Conduct and at all times abide by the standards, requirements, procedures and terms and conditions of the company as laid down by the company from time to time. Violation of the Code of conduct of the company will result in disciplinary action, which may even include termination of services of the employee. The employee must:

  • Commit to individual conduct in accordance with the company’s Policy.
  • Observe both, the spirit and the letter of the law in his dealings on Company’s behalf.
  • Recognize his responsibility towards the management, shareholders, customers, employees, those with whom Company does business, and to society. Assess priorities in the context of discharging these responsibilities appropriately on Company’s behalf.
  • Conduct as responsible members of society, giving due regard to health, safety, and environmental concerns, and human rights, in the operation of Company’s business.

5.  INDEMNIFICATION

In the event of termination of this Employment by breach by Employee of any of the terms/conditions/representations and warranties provided herein in sub clause -2 of clause 7 of this agreement and in the event of non-compliance with the code of conduct of the company as set out in clause 8 of this agreement , Employee shall indemnify and keep indemnified the Company from any loss or damage that may be suffered by the Company, due to the breach of any of the terms and conditions of this Employment or due to any act of negligence, theft or damage to the property of the company or of the customers.

 6.  CONFIDENTIALITY

During the course of the employment with the company, the employee may learn information that is private, sensitive and or confidential. This information may concern or relate to the clients or even parties with which the Company has dealings. The Employee must keep secret and must not, without specific written permission from the company, disclose any such private, sensitive or confidential information, from whatever source and however he may learn it, to any person or body.

A breach of the confidentiality as specified above may serve as cause to termination of employment. The obligations imposed on the employee under this clause will stay in effect and continue even if he leaves the employment of the company for whatever reason.

7.  NON-COMPETE / NON SOLICITAION PROVISIONS

Employee agrees, that during the Term of this Agreement and for a period of  12 (twelve) months after the termination of this Agreement for any reason (the “Non-Compete Period”), whether for its own account or for the account of any third party, whether directly or indirectly as independent contractor, director, general manager, employees, partner, agents or shareholder of any Person which directly competes with the business of the Company, and/or any of their Affiliates, except with the Company’s prior written consent.

8. GOVERNING LAW

This agreement shall be governed by and construed in accordance with the laws of India, and both parties to this agreement shall submit to the exclusive jurisdiction of the Delhi courts.

9. SEVERABILITY

If, for any reason, any provision of this agreement is held invalid, all other provisions of this agreement shall remain in effect. If this agreement is held invalid or cannot be enforced, then to the full extent permitted by law any prior agreement between the Company (or any predecessor thereof) and the Employee shall be deemed reinstated as if this agreement had not been executed.

Zero Tolerance Policy

leading to Termination of Employment (Investigation by the Management will be conclusive cause for action to Terminate)
1. Knowingly accepting delivery of Prohibited Items.
2. Accepting package for delivery that is :
  1. Not in a tampered proof bag; or
  2. Properly sealed; or
  3. Without corresponding Barcode Scan; or
  4. Without signed Declaration; or
  5. Without OTP submission
3. Accepting cash or item in kind from any customer for any reason whatsoever.
4. Serious / grave misconduct with Customer or other employees of Pidge.
5. Intentional tampering of customer package or barcode or declaration.
6. Delivering package to an unintended Recipient or delivering without receiving OTP.
7. Failure to deposit undelivered package(s) to the designated place at the end of the shift including carrying the said packages home at any time.
8. Professing or participating in any act that builds a negative environment impacting company culture / vision or performance or team morale.
9. Defaming the company or any of its employees or customers of Pidge.
10. Misusing or abusing any of the inventory issued to the Rider for purposes other than what they are intended for
  1. Representing the inventory (including but not limited to uniform, bags and box) on social or digital media that is inconsistent with brand and company values or brings disrepute to the company.
    • For the sake of clarity, such content may be posted by self or any third party whether related or unrelated to the employee.
11. Being on duty or consuming while on duty any intoxicating substance including but not limited to alcohol, tobacco, drugs, etc.
12. Operating without Pidge Box/Tamper-proof bags/Barcode/ Declaration.
13. Following repeated offences pertaining to:
  1. Operating without Pidge uniform (shirt/trouser /shoes/belt/etc.)
  2. Performance management issues.
  3. Irregular attendance or unapproved leaves or noncompliance with Duty roster.
  4. Representing self to customer in a manner inconsistent with brand standards.
14. Entering customer’s home without the explicit permission from Customer Support.
15. Rejection of Order.

2. PIDGE एक परफॉर्मेंस ओरिएंटेड कंपनी है:-

  1. अच्छा प्रदर्शन पुरस्कृत किया जाता है, आप अधिक कमा सकते हैं |
  2. अच्छा प्रदर्शन मान्यता प्राप्त है, आप कंपनी में विकास कर सकते हैं |
  3. खराब प्रदर्शन स्वीकार नहीं किया जाता है और दंड के अधीन है |

3. PIDGE एक 5 स्टार सेवा है और केवल सबसे अच्छा जैसे आप इसका एक हिस्सा हैं।

2. निश्चित सकल वेतन:

  1. आपके पास एक निश्चित प्रति माह सकल वेतन है और वही आपके LOA  में उल्लिखित है।
  2. निश्चित वेतन का भुगतान अगले महीने की 7 तारीख तक किया जाता है।
  3. राइडिंग प्रोत्साहन: कुल ऑर्डर वाले किलॉमेटर पर आधारित

            

3. ईंधन प्रतिपूर्ति:

1. घर से घर की गणना

  1. पहली शिफ़्ट के लिए घर से निकालने से लेकर आख़री डिलिव्री के बाद घर पहुँचने तक चलाए हुए कुल डिस्टन्स के लिए आप रीइम्बर्स होंगे|
  2. आपका निश्चित वेतन में इसलिए प्रति दिन 50 रिपोर्टिंग किलोमीटर प्रति दिन शामिल है |
  3. रिपोर्टिंग किलोमीटर का अगले महीने कोई संचयिकरण नहीं होगा |
  4. प्रतिपूर्ति रिपोर्टिंग किलोमीटर को समायोजित करने के बाद की जाती है |
  5. अवकाश लेने पर रिपोर्टिंग किलोमीटर का कोई नकारात्मक समायोजन नहीं किया जाता है |
  6. अगर महीने के सकल वेतन 17000 रु०से कम है, रेट:

             

      7.  अगर महीने के सकल वेतन 17000 रु०से ज्यादा है, रेट : रु 2.5/KM

2. ईंधन प्रतिपूर्ति भुगतान तिथियां:-

  1. 1-15 ईंधन प्रतिपूर्ति: उसी महीने की 27 तारीख तक |
  2. 16-30 / 31 ईंधन प्रतिपूर्ति: अगले महीने की 17 तारीख तक।

5. अधिक समय तक

6. अवकाश – साप्ताहिक बंद

  1. उस सप्ताह में स्वीकृत अवकाश सहित काम के 6 दिनों के बाद पात्रता |
  2. एक बार योग्य होने पर, आप राइडर एप्लिकेशन में रोस्टर सेक्शन का उपयोग करके अपने सप्ताह के लिए आवेदन कर सकते हैं।
  3. एक दिन अतिरिक्त वेतन का भुगतान किया जाता है यदि कोई पात्र सप्ताह नहीं दिया जाता है |
  4. आप अपने सप्ताह के अवकाश को दिनों के अनुसार नहीं  चुन  सकते  हैं और तिथि को बदला नहीं जा सकता है |
  5. साप्ताहिक अवकाश “राइडर ऐप” में रोस्टर सेक्शन में दिखाई देगा ।

7. अवकाश

1. आकस्मिक अवकाश

  1. आप प्रति वर्ष अधिकतम 7 कैलेंडर दिनों के हकदार हैं।
  2. आपको शिफ्ट शुरू होने के समय से कम से कम 12 घंटे पहले आकस्मिक अवकाश लागू करना चाहिए |
  3. आकस्मिक अवकाश को बीमार या वार्षिक अवकाश के साथ नहीं जोड़ा जा सकता है ।

2. बीमारी अवकाश

  1. आप प्रति वर्ष अधिकतम कैलेंडर  दिनों के हकदार हैं ।
  2. आपको बदलाव शुरू होने से कम से कम 3 घंटे पहले बीमार छुट्टी लागू करना चाहिए ।
  3. आप कर्तव्यों को फिर से शुरू करने पर एक चिकित्सा प्रमाण पत्र का प्रस्तुत करेंगे |
  4. बीमार अवकाश को आकस्मिक अवकाश के साथ नहीं जोड़ा जा सकता।

3. वार्षिक अवकाश

  1. आप प्रति वर्ष अधिकतम 18 कैलेंडर दिनों के हकदार हैं।
  2. वार्षिक अवकाश जुड़ने की तिथि से 60 दिनों के बाद प्राप्त होंगे।
  3. प्रत्येक कर्मचारी, काम किए गए प्रत्येक 26 दिनों के लिए 1.5 दिनों की छुट्टी का हकदार होगा।
  4. वार्षिक अवकाश कम से कम 7 दिन पहले लागू किया जाना चाहिए।
  5. दो दिनों से अधिक की वार्षिक अवकाश के लिए कम से कम 14 दिन पहले आवेदन करना होगा।

8. अवकाश नियम

  1. अवकाश लागू करने का एकमात्र तरीका “राइडर एप्लीकेशन” है |
  2. यदि फोन या व्हाट्सएप पर सूचित किया जाए तो अवकाश लागू नहीं की जा सकती है और इसे मंजूरी नहीं दी जाएगी।
  3. अगर    समय    पर  आवेदन  किया  जाता  है  तो  24 घंटे के  भीतर  आपका  अवकाश  मंजूर   कर   लिया   जाएगा ।
  4. यदि आप समय पर अपने अवकाश के लिए आवेदन नहीं करते हैं या आपका अवकाश स्वीकृत नहीं हुआ है, तो इसे अनुपस्थिति माना जाएगा।
  5. कंपनी आपको बहुत सारे अवकाश देती है, कृपया नियमों का सम्मान करके अपने अवकाशों का आनंद लें। 

खराब प्रदर्शन के लिए दंड

1. लेट लॉगिन, अर्ली लॉगआउट पेनल्टी

  1. हर 15 मिनट की देर से आने जल्दी जाने की समयावधि के लिए रु 25 का दंड.

2. अनुपस्थिति का दंड

3. राइडिंग पेनल्टी

  1. यदि ऑर्डर ड्रिवेन किलॉमेटर औसत 100 किमी / कार्य दिवस से कम है, तो लगाया जाता है
  2. अगर प्रति माह ऑर्डर ड्रिवेन किलॉमेटर औसत 0-75 है: रु 10/ किलॉमेटर का दंड 
  3. अगर प्रति माह ऑर्डर ड्रिवेन किलॉमेटर औसत 76-99 है: रु 5/ किलॉमेटर का दंड

4. COD  दंड

  1. यदि ग्राहक से सीओडी राशि के संग्रह के समय से 24 घंटे के भीतर कंपनी के साथ कुल बकाया सीओडी जमा नहीं किया जाता है तो सीओडी जुर्माना लगाया जाएगा
  2. COD पेनल्टी: कुल COD बकाया राशि का 20%

अन्य नियम और शर्तें

1. सुरक्षा, प्रलेखन और परिवीक्षा काल

  • कर्मचारी कंपनी के साथ रु० 2000/- (रुपए दो हजार) की राशि जमा करने के लिए सहमत होता है। इस समझौते के निष्पादन के समय कर्मचारी को प्रदान की जाने वाली डिलीवरी कार्यकारी किट के एवज में अपने पहले देय और देय मासिक वेतन से उपरोक्त धनराशी को घटाया जाता है। वितरण कार्यकारी किट की वापसी के अधीन कंपनी से समाप्ति / इस्तीफे / अलगाव के समय उपरोक्त राशि कर्मचारी को वापस कर दी जाएगी।
  • कर्मचारी पहले मासिक वेतन के भुगतान के समय पृष्ठभूमि सत्यापन के लिए कंपनी को कोई एक मूल सरकारी पहचान दस्तावेज प्रदान करेगा।
  • जॉइनिंग की तारीख से शुरू होने के 60 दिनों तक आपका रोजगार परिवीक्षा पर रहेगा। प्रोबेशन के दौरान, कंपनी 3 दिनों के नोटिस पर आपके रोजगार को समाप्त करने का अधिकार रखती है। कृपया ध्यान दें कि आपको अपनी परिवीक्षा अवधि के दौरान नीचे दिए गए खंड 7.1 के अनुसार नोटिस देने की आवश्यकता होगी ।
  • आप परिवीक्षा अवधि के दौरान किसी भी तरह की छुट्टी के हकदार नहीं हैं। कृपया ध्यान दें, परिवीक्षा अवधि के दौरान ली गई किसी भी छुट्टी को काम से अनुपस्थित माना जाएगा।

2. सावधि

इस समझौते की अवधि शुरू होने की तारीख से सावधि शुरू होगी और 31 मार्च, 2022 को समाप्त होगी। हालांकिइस  समझौते  की  समाप्ति,  समाप्ति के प्रावधानों के अनुसार समाप्ति से पहले समाप्त हो सकती है।

3. रोजगार की समाप्ति

  1. नोटिस द्वारा समाप्ति:- कर्मचारी या कर्मचारी द्वारा तीस दिन का नोटिस या उसके एवज में एक महीने का वेतन कर्मचारी को भुगतान किया जाएगा।
  2. भंग द्वारा समाप्ति:- कंपनी को कर्मचारी द्वारा किए गए किसी भी उल्लंघन, कदाचार, धोखाधड़ी, चोरी पर, उसके दायित्व के सम्बन्ध में, इस समझौते की अवधि के दौरान किसी भी समय इस समझौते को समाप्त करने का हकदार होगा। यदि कर्मचारी के रोजगार को इस खंड के तहत उल्लिखित कारणों के लिए कंपनी द्वारा समाप्त कर दिया जाता है, तो कंपनी को इस संबंध में कर्मचारी के लिए कोई और भुगतान करने के लिए बाध्य नहीं किया जाएगा या इस समझौते के तहत कर्मचारी को कोई लाभ प्रदान करना जारी रखेगा और कर्मचारी द्वारा किए गए इस समझौते के उल्लंघन के कारण, कंपनी को किसी भी नुकसान या क्षति से कर्मचारी कंपनी को क्षतिपूर्ति देगा ।
  3. निष्प्रभावी कर्मचारी की समाप्ति:- एक कर्मचारी बिना किसी भुगतान या जमा राशि के वापसी के बाद, रोजगार समाप्ति के लिए उत्तरदायी होगा, यदि वह 7 या अधिक दिनों की अवधि के लिए फरार है।
  4. पूर्ण और अंतिम भुगतान:- कंपनी, कंपनी से बाहर निकलने की तारीख से 45 दिनों के भीतर आपका पूर्ण और अंतिम भुगतान तैयार करेगी और संसाधित करेगी ।
  5. अनुपस्थिति के लिए समाप्ति:- खंड 3 (2) के बावजूद, कंपनी को नियमित अनुपस्थिति के कारण किसी भी नोटिस या सूचना के भुगतान के बिना रोजगार को समाप्त करने का अधिकार होगा, जब कोई कर्मचारी 3 दिनों की निरंतर अवधि के पूर्व अनुमोदन बिना काम के लिए दिखाई नहीं देता है।
  6. यदि कर्मचारी द्वारा किसी भी कारण से इस समझौते को (ए) समाप्त किया जाता है, या (बी) इस समझौते की शर्तों के किसी भी उल्लंघन के लिए कंपनी द्वारा (b.i) समाप्त कर दिया जाता है; (b.ii) प्रदर्शन या उपस्थिति संबंधी समस्याएं; (b.iii) कंपनी की सामान्य नियम और रोज़गार के लिए शर्तों और प्रक्रियाओं सहित किसी भी नियम का उल्लंघन; (b.iv) कंपनी द्वारा निर्धारित कोई भी कृत्य जो अनैतिक या अनैतिक है; (b.v) भारत के कानून के अनुसार कोई भी अवैध कार्य; कंपनी में शामिल होने की तारीख से 30 दिनों या 60 दिनों के भीतर, प्रेरण और ऑन-बोर्डिंग चार्ज के आधार पर क्रमशः INR 3,000 या INR 1,500 की कटौती करने का अधिकार सुरक्षित है ।

4. शिक्षा के कोड के साथ अनुपालन

  1. कर्मचारियों को कंपनी के आचार संहिता का पालन करना चाहिए और कंपनी के मानकों, आवश्यकताओं, प्रक्रियाओं और नियमों और शर्तों का पालन करना चाहिए। कंपनी की आचार संहिता के उल्लंघन के परिणामस्वरूप अनुशासनात्मक कार्रवाई होगी, जिसमें कर्मचारी की सेवाओं को समाप्त करना भी शामिल हो सकता है। कर्मचारी को चाहिए:
  2. कंपनी की नीति के अनुसार व्यक्तिगत आचरण के लिए प्रतिबद्ध।
  3. कंपनी की ओर से उसके व्यवहार में दोनों, कानून की आत्मा और पत्र का निरीक्षण करें।
  4. प्रबंधन, शेयरधारकों, ग्राहकों, कर्मचारियों, जिनके साथ कंपनी व्यवसाय करती है, और समाज के प्रति उनकी जिम्मेदारी को पहचानती है। कंपनी की ओर से उचित रूप से इन जिम्मेदारियों के निर्वहन के संदर्भ में प्राथमिकताओं का आकलन करें ।
  5. कंपनी के व्यवसाय के संचालन में स्वास्थ्य, सुरक्षा और पर्यावरण संबंधी चिंताओं और मानवाधिकारों के संबंध में समाज के जिम्मेदार सदस्यों के रूप में आचरण करना.

5. क्षतिपूर्ति

किसी भी नियम / शर्तों / अभ्यावेदन और वारंटियों के द्वारा कर्मचारी रोजगार को समाप्त करने की स्थिति में इस समझौते के खंड 7 के उपखंड –2 में और प्रदान की गई आचार संहिता के अनुपालन न होने की स्थिति में कंपनी इस समझौते के खंड 8 में निर्धारित की गई है, कर्मचारी इस रोजगार के किसी भी नियम और शर्तों के उल्लंघन के कारण और कंपनी द्वारा किसी भी नुकसान या क्षति से कंपनी को, कंपनी या ग्राहकों की संपत्ति के लिए लापरवाही, चोरी या क्षति का कोई कार्य के सम्बन्ध में क्षतिपूर्ति करेगा ।

6. गोपनीयता

कंपनी के साथ रोजगार के दौरान, कर्मचारी निजी, संवेदनशील और या गोपनीय जानकारी सीख सकता है। यह जानकारी ग्राहकों या यहां तक ​​कि उन पक्षों से संबंधित हो सकती है जिनके साथ कंपनी का व्यवहार है। कर्मचारी को गुप्त रखना चाहिए और कंपनी से विशिष्ट लिखित अनुमति के बिना, ऐसी किसी भी निजी, संवेदनशील या गोपनीय जानकारी का खुलासा नहीं करना चाहिए | जोकि वह किसी भी स्रोत से और हालांकि वह इसे किसी भी व्यक्ति या संस्था से सीख सकता है | 

उपरोक्त उल्लिखित गोपनीयता का उल्लंघन रोजगार की समाप्ति का कारण बन सकता है। इस खण्ड के तहत कर्मचारी पर लगाए गए दायित्व प्रभावी रहेंगे और चाहे वह किसी भी कारण से कंपनी के रोजगार को छोड़ दें।

7. गैर-सम्‍पर्क / गैर-संवैधानिक प्रावधान

कर्मचारी इस बात से सहमत है कि इस समझौते की अवधि के दौरान और किसी भी कारण से इस समझौते की समाप्ति के बाद 12 (बारह) महीने की अवधि के लिए (“गैर-प्रतिस्पर्धा अवधि”), चाहे अपने स्वयं के लिए या किसी के लिए तीसरा पक्ष, चाहे वह प्रत्यक्ष या अप्रत्यक्ष रूप से स्वतंत्र ठेकेदार, निदेशक, महाप्रबंधक, कर्मचारी, साझेदार, एजेंट या किसी भी व्यक्ति का शेयरधारक हो जो सीधे कंपनी के व्यवसाय के साथ प्रतिस्पर्धा करता है, और / या उनके किसी भी सहयोगी, कंपनी के पूर्व लिखित के अलावा सहमति ।

8. शासकीय कानून

यह समझौता भारत के कानूनों के अनुसार शासित और माना जाएगा, और इस समझौते के दोनों पक्ष दिल्ली न्यायालयों के विशेष अधिकार क्षेत्र में प्रस्तुत करेंगे ।

9. गंभीरता

यदि किसी कारण से, इस समझौते का कोई भी प्रावधान अमान्य है, तो इस समझौते के अन्य सभी प्रावधान प्रभावी रहेंगे। यदि इस समझौते को अमान्य ठहराया जाता है या लागू नहीं किया जा सकता है, तो कानून द्वारा कंपनी (या किसी भी पूर्ववर्ती) के बीच किसी भी पूर्व समझौते द्वारा अनुमत पूर्ण सीमा तक और कर्मचारी को फिर से समझा जाएगा जैसे कि इस समझौते को निष्पादित नहीं किया गया था ।

शून्य सहिष्णुता नीति

रोजगार समाप्ति के लिए अग्रणी (प्रबंधन द्वारा जांच समाप्त करने के लिए कार्रवाई के लिए निर्णायक कारण होगा)
1. जानबूझकर निषिद्ध वस्तुओं के वितरण को स्वीकार करना।
2. डिलीवरी के लिए पैकेज स्वीकार करना जो है:
  1. छेड़छाड़ प्रूफ बैग में नहीं; या
  2. ठीक से सील; या
  3. संबंधित बारकोड स्कैन के बिना; या
  4. बिना हस्ताक्षरित घोषणा; या
  5. ओटीपी जमा किए बिना
3. किसी भी कारण से किसी भी ग्राहक से किसी भी तरह की नकदी या वस्तु स्वीकार करना।
4. ग्राहक या पीज के अन्य कर्मचारियों के साथ गंभीर / गंभीर दुराचार।
5. ग्राहक पैकेज या बारकोड या घोषणा की जानबूझकर छेड़छाड़।
6. एक अनपेक्षित प्राप्तकर्ता को पैकेज वितरित करना या ओटीपी प्राप्त किए बिना वितरित करना।
7. किसी भी समय उक्त पैकेजों को घर ले जाने सहित शिफ्ट के अंत में निर्दिष्ट स्थान पर पूर्वव्यापी पैकेज जमा करने में विफलता।
8. कंपनी के कल्चर / दृष्टि या प्रदर्शन या टीम के मनोबल को प्रभावित करने वाले एक नकारात्मक वातावरण का निर्माण करने वाले किसी भी कार्य में भाग लेना या भाग लेना।
9. कंपनी या उसके किसी कर्मचारी या पीज के ग्राहकों को बदनाम करना।
10. राइडर को जारी किए गए किसी भी इन्वेंट्री का दुरुपयोग करना या दुरुपयोग करना, इसके अलावा कि वे किस उद्देश्य के लिए हैं
  1. ब्रांड या कंपनी के मूल्यों के साथ असंगत है या कंपनी के लिए असंगति लाता है, जो सामाजिक या डिजिटल मीडिया पर इन्वेंट्री (लेकिन वर्दी, बैग और बॉक्स तक सीमित नहीं है) सहित।
    • स्पष्टता के लिए, इस तरह की सामग्री को स्वयं या किसी तीसरे पक्ष द्वारा पोस्ट किया जा सकता है, चाहे वह कर्मचारी से संबंधित या असंबंधित हो।
11. ड्यूटी पर रहते हुए या किसी भी नशीले पदार्थ के सेवन पर, जिसमें अल्कोहल, तंबाकू, ड्रग्स आदि शामिल नहीं हैं।
12. बिना पिक्स बॉक्स / टैम्पर प्रूफ बैग / बारकोड / घोषणा के बिना काम करना
13. निम्नलिखित से संबंधित बार – बार होने वाले अपराध :-
  1. बिना पीज यूनिफॉर्म (शर्ट / ट्राउजर / जूते / बेल्ट / आदि) का संचालन
  2. प्रदर्शन प्रबंधन के मुद्दे।
  3. अनियमित उपस्थिति या अनुपयोगी पत्तियां या ड्यूटी रोस्टर का पालन न करना।
  4. ब्रांड मानकों के साथ असंगत तरीके से ग्राहक के लिए स्वयं का प्रतिनिधित्व करना।
14. ग्राहक सहायता से स्पष्ट अनुमति के बिना ग्राहक के घर में प्रवेश करना।
15. आदेश की अस्वीकृति।

DELIVERY PARTNER TERMS FOR SERVICE

THE INDEPENDENT CONTRACTOR (this “Agreement” ) made at Haryana by and between:

R-Indventures Private Limited, a company incorporated under the provisions of the Companies Act, 2013, bearing CIN U70109DL2018PTC342485, having its registered office at R-265-B F/P Between R-245-R-244, Near Post Office Greater Kailash-1 New Delhi 110048, India, (hereinafter referred to as “Pidge” or “Company”, which expression shall include its successors and permitted assigns) of the First Part;

and

The Rider or Delivery partner (hereinafter referred to as the “Independent Contractor/ Delivery Partner”, which expression shall unless repugnant to the subject and context hereof deemed to include his successors and permitted assigns).

Pidge and the Independent Contractor/Delivery Partner are referred to in this Agreement, individually as a “Party” and collectively as “Parties”.

WHEREAS:

  1. Pidge is engaged in the business of on demand delivery and courier services.
  2. Pidge has developed an internet-based Platform (“Pidge Platform” or the “Platform”) owned and operated by Pidge “Pidge,” “we,” or “us”). Pidge provides a service (the “Service”) that allows its customers (“Customers”) to access Pidge’s network of suppliers with delivery orders requiring delivery executives (“Independent Contractor/Delivery Partners”) to identify local providers to meet intermittent needs for services.
  3. Pidge has approached the Independent Contractor/Delivery Partner to provide its services by accessing the Platform to receive and review requests for services from Pidge Customers and to determine their interest in and availability to respond to such requests.
  4. The Parties are now desirous of recording the terms and conditions concerning their arrangement under this Agreement.

NOW THEREFORE, in consideration of the mutual covenants and promises contained herein and other good and valuable consideration the adequacy of which is hereby acknowledged, it is hereby agreed by and between the Parties hereto and this Agreement witnessed as under:

1. DEFINITIONS AND INTERPRETATION

Definitions

In this Agreement, unless repugnant to the meaning or context thereof the following expressions bear the following meanings:

Applicable Law” shall mean any statute, law, regulation, ordinance, rule, judgement, order, decree, by-law, clearance, directive, guideline, policy, requirement, or any governmental restriction or any similar form of decision of, or determination by, or any interpretation or administration having the force of law of any of the foregoing, by any governmental authority having jurisdiction over the matter in question, whether in effect as of the date of this Agreement or thereafter;

Confidential Information” shall include, but not limited to (a) trade secrets; (b) proprietary information of the disclosing Party including, without limitation, all information related to the Product, business ideas, business model, policies, manuals, designs, procedures, improvements, future plans, budgets and costing, financial analyses, competitive analyses, management information, technical data and market studies, media, techniques, sketches, drawings, algorithms, software programs, software codes, source documents and formulae, its information concerning research, financials, procurement requirements, purchasing, customer lists, investors, employees, contractual relationships, business and forecasts, sales and merchandising, marketing plans; (c) inter se rights and obligations of the Parties in relation to the Agreement and the Agreement itself; and (d) such other information which by its nature or the circumstances of its disclosure is confidential;

Customers” shall mean Customers of Pidge and the ultimate delivery recipients 

Intellectual Property” shall mean all know-how, patents, trademarks (whether registered or unregistered), trade or business names, registered and unregistered design rights, copyright (including rights in any documents, materials and computer software), topography rights, rights in relation to databases, rights in the nature of copyright or any other industrial, commercial or Intellectual Property rights (whether or not registered and including Platforms for registration of any of them) and all rights or forms of protection of a similar nature or having an equivalent or similar effect to any of the above, which may subsist anywhere in the world;

Person” shall mean any individual, sole proprietorship, unincorporated association, unincorporated organization, body corporate, corporation, company, partnership, limited liability partnership, joint venture, governmental authority or trust or any other entity or organization.

“Service Request” means a request for Service or work by Customer which includes a description of the Deliverables for which Customer wish to engage Independent Contractor/Delivery Partner. Once the Customer and Independent Contractor/Delivery Partner have agreed upon the terms of a Service Request, the Service Request will become an Assignment.

“Pidge Request” means a notice provided, through the Platform, to one or more Independent Contractor/Delivery Partners, which includes a description of the services to be provided by the Independent Contractors/Delivery Partners, the time by which the Pidge Request must be completed (the “Pidge Completion Date”) and the fee associated with the Pidge Request (the “Fees”). An open request is a request for services that has not yet been accepted by an Independent Contractor/Delivery Partner (“Open Request”). Independent Contractor/Delivery Partner can use the Platform to review Open Requests and to indicate their availability for Open Requests. Once an Independent Contractor/Delivery Partner has accepted a Pidge Request, the Pidge Request will become a “Pidge Engagement”. Each Pidge Engagement constitutes a new contract between Pidge and the Independent Contractor/Delivery Partner, and between the Independent Contractor/Delivery Partner and Requestor.

“Pidge Platform” or “Platform” means the software Application used by Pidge in connection with the Services.

Interpretation

Unless the context of this Agreement otherwise requires:

  • Words using the singular or plural number also include the plural or singular number, respectively;
  • Words of any gender are deemed to include all genders;
  • The terms “hereof”, “herein”, “hereby”, “hereto” and derivative or similar words refer to this entire Agreement or specified Clauses of this Agreement, as the case may be;
  • The term “Clause” refers to the specified Clause of this Agreement;
  • References to Recitals, Clauses, Annexure or Schedules are, unless the context otherwise requires, refers to Recitals, Clauses, Annexure or Schedules to this Agreement;
  • Heading and bold typeface are only for convenience and shall be ignored for the purpose of interpretation;
  • Reference to any legislation or Applicable Law or to any provision thereof shall include references to any such Applicable Law as it may, after the date hereof, from time to time, be amended, supplemented or re-enacted, and any reference to statutory provision shall include any subordinate legislation made from time to time under that provision;
  • Reference to the word “include” shall be construed without limitation.

2. ACKNOWLEDGMENT AND ACCEPTANCE OF THE AGREEMENT

It is understood between the Parties that by accessing the Platform, or becoming an Independent Contractor/Delivery Partner, you accept this Agreement and agree to the terms, conditions and notices contained and/or referenced herein. Pidge reserves the right to change this Agreement, and add additional terms at any time, effective upon making the modified provisions available on the Platform or by notifying Independent Contractor/Delivery Partner through registered number or E-mail or directly. Independent Contractor/Delivery Partner are responsible for regularly reviewing the Terms of Use for modifications and updates to its terms. Continued use of the Platform after any such changes are made to this Agreement shall constitute your consent to such changes. Other than making the changes available on the Platform, Pidge does not assume any obligation to notify Independent Contractor/Delivery Partner of any changes to this Agreement, or the creation or modification of any additional terms.

3. INDEPENDENT CONTRACTOR/DELIVERY PARTNER

3.1. Background Checks and Privacy Information.

As part of your initial registration with Pidge, Independent Contractor/Delivery Partner agree to immediately execute a written consent for a background check. Subject to a satisfactory background check and agreement to the terms herein, Independent Contractor/Delivery Partner will be eligible to use the Pidge Platform to view and accept Pidge Requests. Independent Contractor/Delivery Partner further agree to complete any ongoing background checks as may be required by Pidge or a Customer. Failure to complete the initial or ongoing background check processes may result in inability to accept Pidge Requests and/or removal from the Pidge Platform. Please note that in order to run your background check, Pidge shall require you to furnish any of the following documents such as Aadhar card, PAN card, driving license, or Voters ID during the onboarding process.


3.2. Best Efforts

By signing this Agreement and registering on the Platform to become an Independent Contractor/Delivery Partner and accepting an Open Request, you agree to use your best efforts to perform the Pidge Engagement such that the Services meet the requirements and specifications of the Customer, for whom the Open Request was created. Once an Independent Contractor/Delivery Partner has accepted a Pidge Request, the Open Request will no longer be available for performance by other Independent Contractor/Delivery Partners who received the Open Request. By accepting an Open Request, you are entering into a binding legal agreement to provide the Services for the Fees specified in the Open Request. Do not accept an Open Request unless you are sure that: (1) you understand what you are being asked to deliver; (2) you can perform the Services identified in the Open Request; (3) you can deliver the Services in the requested time period; and if required, you can get to and from the Customer’s location. Failure to timely deliver the Services consistent with the Customer’s requirements and specifications will constitute a breach, resulting in non-payment. In the event Independent Contractor/Delivery Partner does not perform the Assignment as per the service standard and work schedule mentioned in the Service Request, then the Customer may process the Fees of the Independent Contractor/Delivery Partner after deduction and Pidge may at its sole discretion suspend the Independent Contractor/Delivery Partner for a week.

4. FEES

4.1 It is understood between the Parties that the Fees payable to the Independent Contractor/Delivery Partner for performing the Assignment assigned to it based on the Service Request shall be paid at the end of the day, fortnight, week or month as may be based on the terms of the Service Request and shall be paid to the Independent Contractor/Delivery Partner for the work assigned as may be agreed in letter of engagement.

4.2. In consideration for the Delivery Services provided by the Delivery Partner to the Users of delivering goods to the Users, the Delivery Partner may charge the Users a service fee (“Delivery Charges”), subject to such Delivery Charges being accepted by the User before or at the time of placement of the order. The Delivery Charges shall be agreed between the Delivery Partner and Pidge from time to time, in the manner provided under these Delivery Partner T&C.

4.3. In order to incentivize the Delivery Partner for the availability committed by him/her on the Platform to undertake Delivery Services as and when he is connected to a User, Pidge may, at its discretion, pay the Delivery Partner a fee (“Availability Fee”), in addition to the Delivery Charges collected by the Delivery Partner from the Users.

4.4. The Delivery Partner shall not charge the Users any amount over and above the amount of Delivery Charges agreed between You and Pidge under these Delivery Partner T&C.

4.5. The Delivery Partner hereby authorize Pidge to collect from the Users, on your behalf, the Delivery Charges charged by You to the Users for undertaking Delivery Services, which shall be remitted to you on a weekly basis through such mode and on such day(s) of a week as Pidge may from time to time decide.

4.6. (i) an onboarding fee (“Onboarding Fee”) to Pidge of such amount and in such manner as prescribed by Pidge from time to time, or (ii) an interest free refundable security deposit (“Security Deposit”) to Pidge, of such amount and in the manner prescribed by Pidge from time to time. In addition, Pidge shall charge additional fees from the Delivery Partner for any additional training and support services provided by Pidge (“Training and Support Fees”). To enable the Delivery Partner to render Delivery Services, Pidge may provide the Delivery Partner with certain assets including, but not limited to, the Pidge DP Platform on the Delivery Partner’s smart phone; bags etc. Upon termination of these Delivery Partner T&C and the Delivery Service Agreement, the Security Deposit, if any, shall be refunded to the Delivery Partner by the Pidge after the assets are returned to the Pidge in usable condition

4.7. It is understood that any additional out of pocket expenses incurred by the Independent Contractor at the request or with the consent of the Company or the Customer, will be reimbursed by the respective Company or the Customer upon production of documentary evidence of the same being borne. Any expenses borne without written instruction from the Customer or the Company shall not be reimbursed in any event.

4.8. All amounts received by the Independent Contractor/Delivery Partner would be subject to tax, as applicable under the provisions of the Income-tax Act, 1961 and the Income Tax Rules made there under and such other statutory deductions, as applicable under law.

4.9. Independent Contractor is a freelancer and neither an agent nor an employee of the either Pidge or the Customer and therefore shall neither have right of employment nor will receive any statutory labour welfare benefits like provident fund, ESIC etc.  Professional Tax payable on the Fees received by the Independent Contractor must be borne by the Independent Contractor himself.

5. INDEPENDENT CONTRACTOR/DELIVERY PARTNER RELATIONSHIP

5.1. Nothing in this Agreement is intended or should be construed to create a partnership, joint venture, or employer-employee relationship between Pidge and Independent Contractor/Delivery Partner or between the Customer and Independent Contractor/Delivery Partner. Independent Contractor/Delivery Partner will take no position with respect to or on any tax return or Platform for benefits, or in any proceeding directly or indirectly involving Pidge that is inconsistent with your being an Independent Contractor/Delivery Partner (and not an employee) of Pidge. Independent Contractor/Delivery Partner are not the agent of Pidge or the Customer and Independent Contractor/Delivery Partner are not authorized, and must not represent to any third party that Independent Contractor/Delivery Partner are authorized, to make any commitment or otherwise act on behalf of Pidge or the Customer.

5.2. Pidge does not restrict the Independent Contractor/Delivery Partner’s right to provide services through other parties, including competitors of the Pidge Platform; Pidge expects the individual performing services as an Independent Contractor/Delivery Partner will provide services for other parties;

5.3. Pidge does not provide a performance assessment for Independent Contractor/Delivery Partner, and does not oversee the actual work or instruct the individual as to how the work will be performed, or the method or process the Independent Contractor/Delivery Partner uses to perform services, provided however the Pidge may put out Independent Contractor/Delivery Partner ranking and rating based on customers rating;

5.4. Pidge does not combine its business operations in any way with the Independent Contractor/Delivery Partner’s business, but instead maintains such operations as separate and distinct. Independent Contractor/Delivery Partner shall have no legal authority to enter into contracts on Pidge’s behalf or otherwise bind Pidge in any way.

5.5. Independent Contractor/Delivery Partner is responsible for obtaining and maintaining any required registration, licenses, or other authorization necessary for the services Independent Contractor/Delivery Partner renders.

5.6. Delivery Partner shall not be allowed to continue in any single assignment for longer than a continuous period of six months in a one year period . it is understood that by agreeing to these Terms ,  the Delivery Partner agrees to such a break in continuous engagement. Pidge shall make best efforts to find engagement for such Delivery Partner with another entity or Customer at the earliest upon completion of an assignment / Service Request

6. CONFIDENTIAL INFORMATION

6.1. Given the nature of the business carried out by Pidge and the involvement which the Independent Contractor/Delivery Partner will have in certain aspects of operation of the Pidge Platform, the Independent Contractor/Delivery Partner will have access to information, much of which will be confidential and the disclosure of which could be extremely detrimental to the Business of Pidge (hereinafter referred to as “Confidential Information”). In this Agreement, “Confidential Information” means:-

  • Information relating to the businesses, finances, dealings, transactions, processes, methods, customer details and other affairs of Pidge;
  • Any Intellectual Property owned by Pidge;
  • Trade secrets and databases (including, without limitation, price and cost information, business plans and programs, business opportunities, expansion plans, research and development projects, technical data, and details of and technical data relating to business ventures, licences, sale agreements and joint venture agreements, computer programs and all intellectual property rights whatsoever relating to the business of Pidge or and which is for the time being confidential to Pidge);
  • The identity of potential business co-venturers of Pidge;
  • Analyses made, or view taken, by Pidge in respect of the businesses, finances, dealings, transactions and affairs of Pidge, any business co-venturers or potential business co-venturers of Pidge or any other third party; and
  • Information in respect of which Pidge is bound by an obligation of confidentiality to a third party.

6.2. In order to protect the confidentiality of such information, the Independent Contractor/Delivery Partner shall keep secret, all information given to him or obtained by him/her in the course of his/her Independent Contractorship with Pidge, the Independent Contractor/Delivery Partner shall not, except with the prior written consent of the Pidge and in the proper performance of his/her duties under this Agreement, either during this Agreement or after the termination of this Agreement till the expiry of 2 years (howsoever caused), use for his/her own benefit or for the benefit of any other Person (other than Pidge) or, except as required by law, a court or tribunal of competent jurisdiction or any applicable regulatory or statutory authority or body, or except as necessarily required by the Independent Contractor/Delivery Partner in the context of proceedings before any such court or tribunal, directly or indirectly, divulge or disclose to any Person other than any person employed by Pidge (including, for the avoidance of doubt, any professional or other adviser appointed by Pidge, any Confidential Information which has come or may come to his knowledge during this Agreement or previously or otherwise.

6.3. During this Agreement, the Independent Contractor/Delivery Partner shall use reasonable endeavours to prevent the publication, divulgence or disclosure by third parties of any Confidential Information and shall immediately bring to the notice of Pidge any violation of this clause by any Person to the extent known to the Independent Contractor/Delivery Partner

6.4. The restrictions contained in this Clause 6 shall cease to apply to any Confidential Information which:

  • Is disclosed to Independent Contractor/Delivery Partner, legal advisers, auditors and other consultants of Pidge or its related bodies corporate, requiring the information when written permission for such disclosure has been granted by Pidge; or
  • Is disclosed with the consent of Pidge; or
  • Is, at the date of this Agreement is entered into, lawfully in the possession of the Independent Contractor/Delivery Partner through sources other than Pidge; or
  • Is generally and publicly available, other than as a result of breach of confidence by Independent Contractor/Delivery Partner, so receiving the information.

6.5. To the extent the Independent Contractor/Delivery Partner is under an obligation to disclose information to any governmental authorities, it shall promptly inform Pidge of such obligation (prior to making the disclosure, if possible and practicable) and shall afford Pidge the ability to take protective measures, if need be, to safeguard Pidge own legitimate interests.

6.6. The Independent Contractor/Delivery Partner shall not reproduce, store in a retrieval system or transmit in any form or by any means, electronic, mechanical, photocopying, recording, scanning or otherwise, any copyrighted material which is the property of Pidge or any of its affiliated companies for his/her own benefit or for the benefit of any third party.

6.7. Upon Pidge request and upon any termination or expiration of this Agreement, Independent Contractor/Delivery Partner will promptly (a) return to Pidge or, if so directed by Pidge, destroy all Confidential Information (in every form and medium), (b) permanently erase all electronic files containing or summarizing any Confidential Information, and (c) certify to Pidge in writing that you have fully complied with these obligations.

7. COVENANTS OF THE INDEPENDENT CONTRACTOR/DELIVERY PARTNER

The Independent Contractor/Delivery Partner hereby declares and confirms as follows:

7.1. The Independent Contractor/Delivery Partner agrees and consents to abide by the rules, regulations, procedures and policies of Pidge and Customer as may be in place from time to time.

7.2. The Independent Contractor/Delivery Partner shall maintain a high code of conduct during the Term of the Agreement and any behaviour reflecting unfavourably on Pidge or Customer shall be liable to disciplinary action.

7.3. The Independent Contractor/Delivery Partner will use his/her best efforts while performing his/her duties and obligations to Customer and devote full and undivided time to the activities of Pigde or Customer’s request for service.

7.4. The Independent Contractor/Delivery Partner shall owe Pidge or Customer the highest duty of loyalty. During the term of this Agreement with Pidge, the Independent Contractor/Delivery Partner shall not make undisclosed profits at Pidge’s expense, will not accept kickbacks or special favours from customers or competitors of Pidge, will protect Pidge’s property and will not engage in any other gainful employment, business or activity without the written consent of Pidge.

7.5. The Independent Contractor/Delivery Partner shall have the responsibility for the safekeeping of the property, documents etc. of Pidge or the Customer which may be in the Independent Contractor/Delivery Partner’s custody, care or charge.

7.6. The Independent Contractor/Delivery Partner shall not represent Pidge or Customer to any Person in any circumstance and shall not make any commitments on behalf of Customer whether financial or other, without the prior authorisation from Customer.

8. REPRESENTATIONS AND WARRANTIES

8.1. The Independent Contractor/Delivery Partner hereby represents and warrants as follows:

  • The Independent Contractor/Delivery Partner has executed and delivered this Agreement as its free and voluntary act, after having determined that the provisions contained herein are of benefit to them, and that the duties and obligations imposed on them hereunder are fair and reasonable;
  • The Independent Contractor/Delivery Partner has full capacity, power and authority and has obtained all requisite consents and approvals to, enter into and to observe and perform this Agreement;
  • The Independent Contractor/Delivery Partner shall have a valid and adequate driving license, permits and insurance coverage to the Vehicle used for delivery and shall ensure that the documents are valid, up to date and in subsistence throughout the Term of these Delivery Partner T&C. A copy of the license shall be given by the Delivery Partner to the Pidge. The Delivery Partner further confirms that all premium payments towards the insurance policy or permits shall be paid exclusively by the Delivery Partner. Under no circumstances shall Pidge be liable to make any payment with respect to such permits or insurance.
  • By virtue of entering into this Agreement and/or any other agreements or contracts or arrangements made or to be made with Pidge, the Independent Contractor/Delivery Partner will not (i) be in breach of any express or implied terms of any documents, contracts, agreements or any other instruments to which they are a party or of any other obligation binding on them and (ii) violate any Law applicable to them;
  • The Independent Contractor/Delivery Partner is not subject to any written non-solicitation or non-competition agreement affecting their engagement with Pidge in the manner contemplated herein; and
  • The Independent Contractor/Delivery Partner has read and fully understood the terms and conditions set forth herein, has had time to reflect on and consider the benefits and consequences of entering into this Agreement, and has obtained independent legal and other advice in connection with the execution of this Agreement.

8.2. Warranty Disclaimer. The Platform is provided “as is,” as available and without any warranties or conditions (express or implied, including the implied warranties of merchantability, accuracy, fitness for a particular purpose, title and non-infringement, arising by statute or otherwise in law or from a course of dealing or usage or trade). Pidge disclaim all and make no representations or warranties, of any kind, either express or implied, as to the quality, identity or reliability of any third party, or as to the accuracy of the postings made on the Platform by any third party.

9. RELATIONSHIPS BETWEEN PIDGE, INDEPENDENT CONTRACTOR/DELIVERY PARTNERS AND THE CUSTOMERS

9.1. Pidge provides a Platform through which Customers and Independent Contractor/Delivery Partners can buy and sell Services on the Platform and the Independent Contractor/Delivery Partner listed on the Pidge are users of the Platform and agree that by no means any partnership, employment, or agency agreement exists between them as a result of this Agreement or any use of the Platform.

9.2. The Parties agree and acknowledge that there shall be no obligation on the Delivery Partner to be available on Pidge Platform for a minimum number of hours/days. The Delivery Partner acknowledges that he has flexible timings and can chose to log-in the Pidge Platform anytime he wants and for howsoever long he wants, at his sole discretion

9.3. The Parties agree and acknowledge that Pidge does not have any control over the actions of Independent Contractor/Delivery Partner and Pidge shall not be responsible for instructing the Independent Contractor/Delivery Partner with respect to the Assignment to be carried out by the Independent Contractor/Delivery Partner for the Customer but except for providing the Independent Contractor/Delivery Partner with the information shared by the Pidge platform in order to enable the Independent Contractor/Delivery Partner in choosing the Assignment he/she may want to take up

9.4. The Parties agree and acknowledge that the Customer is only a user and Customer of Pidge, who is using the Services of the Pidge platform in order to reach to the Independent Contractor/Delivery Partner for any of their business needs and for processing the payment payable to the Independent Contractor/Delivery Partner for the Assignment carried out based on its Service Request on the Pidge Platform. The Pidge is in no way acting as an agent, partner or employee of the Customer.

9.5. During the course of the Assignment, It is understood between the Parties that at no point of time the Customer can instruct the Independent Contractor/Delivery Partner about the mode or method for performing a specific Assignment detailed in the Service Request, since it is assumed that the Independent Contractor/Delivery Partner has previous experience and expertise in performing the Assignment described in the Service Request. Whereas, during the course of the Assignment Customer shall be only free to inform the Independent Contractor/Delivery Partner about the standard and quality of service or work to be performed by the Independent Contractor/Delivery Partner during the Assignment period.

9.6. The Customer shall have no power and the Independent Contractor/Delivery Partner shall have no authority to work outside the geographical Territory mentioned in the Assignment. Any change in the terms of Assignment, mid-way through the Assignment shall have to communicated by the Customer to the Independent Contractor/Delivery Partner in writing by making an amendment in the Assignment through the Pidge Platform and such changed terms shall come to effect only upon the express consent and agreement of the Independent Contractor/Delivery Partner to the amendment of the Assignment.

9.7. The terms used in this Agreement are used in the sense of general business parlance and not in the strict sense of its legal connotations. The relationship between Customer and Pidge Independent Customer will at all times be of a Customer and an Independent Contractor/Delivery Partner. Pidge Independent Contractor/Delivery Partner will neither be an employee of Pidge nor of the Customer.

9.8. The Parties expressly agree that no joint venture, partnership, employment, or agency agreement exists between them as a result of this Agreement or any use of the Platform

10. LIMITATION OF LIABILITY

IN NO EVENT WILL PIDGE BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, EXEMPLARY, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITIES OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PIDGE’S TOTAL CUMULATIVE LIABILITY IN CONNECTION WITH THIS AGREEMENT, WHETHER IN CONTRACT OR TORT OR OTHERWISE, WILL NOT EXCEED THE AGGREGATE AMOUNT OF PAYMENTS OWED BY PIDGE FOR PIDGE ENGAGEMENTS PERFORMED UNDER THIS AGREEMENT PERIOD PRIOR TO THE OCCURRENCE OF THE FIRST CLAIM TO GIVE RISE TO LIABILITY UNDER THIS AGREEMENT.

11. DEDUCTION

  1. Independent Contractor/Delivery Partner agrees that following the termination of his employment for any reason or upon completion of the Service Request, he shall return all property of the Pidge or the Customer, which has come into his possession, including, but not limited to Pidge or Customers tool, equipments, uniforms, badges, documents, notes, electronically stored data and all copies of the foregoing as well as other materials or equipment supplied by the Pidge or the Customer to the Independent Contractor/Delivery Partner. In the event the Independent Contractor/Delivery Partner fails to return all or any of the property mentioned above, Independent Contractor/Delivery Partner shall be liable to pay and Pidge shall have the right to deduct an amount equivalent to the value of the property which has not been returned by the Independent Contractor/Delivery Partner. Security deposit for Uniform/Inventory 2000 will be deducted from the first payout.

12. COMMENCEMENT AND DURATION

This Agreement shall become effective from July 27, 2021 (the “Commencement Date”) and shall continue, subject to the provisions of Clause 12 of this Agreement (Termination) till all the obligations relative to any Assignment that has been entered by the Independent Contractor/Delivery Partner is completed and further it can be extended by mutual consent between the Parties.

13. TERMINATION

13.1. Pidge may terminate the Independent Contractor/Delivery Partner’s engagement by giving 15 day’s written notice without assigning any reasons therefore. Similarly, the Independent Contractor/Delivery Partner may also terminate this Agreement with Pidge by giving 15 day’s written notice without assigning any reasons therefore.

13.2. It is understood between the Parties that, if the Customer wishes to replace the Independent Contractor/Delivery Partner assigned to him based on the Service Request due to the fault of the Independent Contractor/Delivery Partner in performing its services, in such an event the replacement of the Independent Contractor/Delivery Partner shall take place without any cost from the Customer. Whereas, if the Customer has requested the replacement based on his convenience, in such an event the Customer shall be charged 50% of the Service Request amount by the Pidge. The Parties further agree that if the Customer at any time wishes to discontinue with the services offered by the Independent Contractor/Delivery Partner during the course of the Assignment, in such an event the Customer shall be required to pay the balance amount for the remaining work to Pidge.

13.3. Notwithstanding the foregoing, in the event the Independent Contractor/Delivery Partner engages in Misconduct, as defined below, during the course of the Assignment and have been reported by the Customer, in such an event Pidge shall terminate this Agreement with the Independent Contractor/Delivery Partner and thereafter Pidge may cease making payments to the Independent Contractor/Delivery Partner, and the Pidge shall have no further obligations with respect to any amounts under this Agreement. For purposes of this clause, “Misconduct” shall mean (i) fraud, (ii) sexual harassment, or (iii) misconduct which may result in criminal conviction.

13.4. It is understood between the Parties that Pidge reserves the right to terminate Independent Contractor/Delivery Partner access to the Platform if Independent Contractor/Delivery Partner have materially breach the Agreement or any Pidge Engagement, if Independent Contractor/Delivery Partner violate the law in connection with Independent Contractor/Delivery Partner use of the Platform (or in connection with the performance of the Services) or if Independent Contractor/Delivery Partner have otherwise engage in conduct in using the Platform that Pidge, in its sole discretion, believes in good faith to be detrimental to its business interests.

13.5. Upon Termination or expiration of this Agreement and/or any modification or termination of the Platform the following clause shall survive clause 5 (“Independent Contractor/Delivery Partner Relationship”), 6 (“Confidentiality”), 7 (“Covenants Of The Independent Contractor/Delivery Partner”), 8 (“Representations and Warranties”), 10 (“Limitation of Liability”), and 12.3 (“Survival”). Termination or expiration of this Agreement will not affect either party’s liability for any breach of this Agreement such party may have committed before such expiration or termination.

14. SPECIFIC ENFORCEMENT

The Parties acknowledge and agree that the interests of the Parties will be irreparably damaged if the terms of this Agreement are breached by either Party, and monetary damages shall not be an adequate remedy for such breach. Consequently, the Parties agree that either Party will be entitled to an injunction or injunctions from the other Party, to prevent breach of such performance and to specific enforcement of such covenants in addition to any other remedy to which it may be entitled, at law or in equity.

15. INDEMNIFICATION

15.1. Each Party (“Indemnifying Party”) shall, at its own expense, indemnify, defend and hold harmless the other Party (“Indemnified Party”) and its officers, directors, employees, representatives, agents, respective directors, and assigns from and against any and all liability (including but not limited to liabilities, judgments, damages, losses, claims, costs and expenses, including reasonable attorney’s fees and expenses) any other loss that may occur, arising from or relating to and will be in accordance of this Agreement:

  • A breach, non-performance or inadequate performance by the Indemnifying Party of any of the terms, conditions, covenants, representations, undertakings, obligations or warranties under this Agreement; or 
  • The acts, errors, representations, misrepresentations, wilful misconduct or negligence of the Indemnifying Party, its employees in performance of its obligations under this Agreement.

15.2. Provided that the provisions of this Clause shall survive the termination of this Agreement.

16. GOVERNING LAW AND DISPUTE RESOLUTION

This agreement shall be governed by and construed in accordance with the laws of India, and both parties to this agreement shall submit to the exclusive jurisdiction of the Delhi courts.

9. SEVERABILITY

If, for any reason, any provision of this agreement is held invalid, all other provisions of this agreement shall remain in effect. If this agreement is held invalid or cannot be enforced, then to the full extent permitted by law any prior agreement between the Company (or any predecessor thereof) and the Employee shall be deemed reinstated as if this agreement had not been executed.

1. Knowingly accepting delivery of Prohibited Items.
2. Accepting package for delivery that is :
  1. Not in a tampered proof bag; or
  2. Properly sealed; or
  3. Without corresponding Barcode Scan; or
  4. Without signed Declaration; or
  5. Without OTP submission
3. Accepting cash or item in kind from any customer for any reason whatsoever.
4. Serious / grave misconduct with Customer or other employees of Pidge.
5. Intentional tampering of customer package or barcode or declaration.
6. Delivering package to an unintended Recipient or delivering without receiving OTP.
7. Failure to deposit undelivered package(s) to the designated place at the end of the shift including carrying the said packages home at any time.
8. Professing or participating in any act that builds a negative environment impacting company culture / vision or performance or team morale.
9. Defaming the company or any of its employees or customers of Pidge.
10. Misusing or abusing any of the inventory issued to the Rider for purposes other than what they are intended for
  1. Representing the inventory (including but not limited to uniform, bags and box) on social or digital media that is inconsistent with brand and company values or brings disrepute to the company.
    • For the sake of clarity, such content may be posted by self or any third party whether related or unrelated to the employee.
11. Being on duty or consuming while on duty any intoxicating substance including but not limited to alcohol, tobacco, drugs, etc.
12. Operating without Pidge Box/Tamper-proof bags/Barcode/ Declaration.
13. Following repeated offences pertaining to:
  1. Operating without Pidge uniform (shirt/trouser /shoes/belt/etc.)
  2. Performance management issues.
  3. Irregular attendance or unapproved leaves or noncompliance with Duty roster.
  4. Representing self to customer in a manner inconsistent with brand standards.
14. Entering customer’s home without the explicit permission from Customer Support.
15. Rejection of Order.
